Please read these Terms & Conditions carefully before using the Modus AI website or platform. This document is a general reference for our public website; enterprise customers are additionally bound by the terms of their executed agreement with Modus.

1. Acceptance of Terms

These Terms & Conditions (“Terms”) govern access to and use of the website located at modussecure.com and the Modus AI risk-intelligence platform (together, the “Services”), operated by Modus AI Private Limited (“Modus”, “we”, “us”, “our”).

By visiting this website, requesting a demo, signing up for a trial, or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organisation, you represent that you have the authority to bind that organisation, in which case “you” refers to that organisation. If you do not agree to these Terms, do not use the Services.

2. Description of Services

Modus provides an AI-powered risk-intelligence platform for banks, NBFCs and other regulated financial institutions, covering credit intelligence and underwriting support, investigation and risk intelligence, and compliance review and automation, along with the underlying graph-intelligence engine and related products (collectively, the “Platform”). Where you have a signed order form, statement of work or master services agreement with Modus for the Platform, the terms of that agreement will govern in the event of any conflict with these Terms as they relate to the Platform; these Terms continue to govern your use of the public website.

3. Eligibility and Accounts

The Services are intended for business use by financial institutions and their authorised personnel, and are not directed at consumers or individuals under the age of 18. You must provide accurate, current information when requesting access, registering for a trial, or corresponding with us, and keep any account credentials confidential.

You are responsible for all activity that occurs under your account or credentials, and for promptly notifying us of any unauthorised use.

4. Acceptable Use

You agree not to, and not to permit any third party to:

  • use the Services in violation of applicable law, including data protection, banking or securities regulation;
  • attempt to gain unauthorised access to the Platform, other accounts, or Modus’s systems or networks;
  • reverse engineer, decompile, or attempt to extract the source code or underlying models of the Platform, except where such restriction is prohibited by law;
  • use the Services to build a competing product, or scrape, resell or redistribute the Services without our written consent;
  • upload malicious code, or interfere with the integrity or performance of the Services; or
  • misrepresent your identity or affiliation, or use the Services to transmit content that is unlawful, defamatory, or infringes any third party’s rights.

5. Intellectual Property

The Services, including all software, models, visualisations, text, graphics, logos and the “Modus” name and marks, are owned by Modus or its licensors and are protected by intellectual property laws. Except for the limited right to access and use the Services as permitted under an applicable agreement, nothing in these Terms grants you any right, title or interest in the Services or our intellectual property. Any feedback you provide about the Services may be used by us without restriction or compensation.

6. Customer Data

Where you submit data to the Platform for processing (“Customer Data”), you retain all rights in that data. You are responsible for ensuring you have the necessary rights and consents to share Customer Data with Modus, including any personal data of your customers or counterparties, in accordance with applicable data protection law. Our handling of personal data submitted through the Services is described in our Privacy Policy and, where applicable, in a data processing agreement executed between the parties.

7. Third-Party Links and Content

The website may contain links to third-party sites, tools or content that are not owned or controlled by Modus. We are not responsible for the content, accuracy or practices of any third-party site, and inclusion of a link does not imply endorsement.

8. Disclaimer of Warranties

The website and any publicly available materials are provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Outputs of the Platform, including risk scores, flags and recommendations, are decision-support tools and do not constitute legal, financial, credit, or compliance advice; you remain responsible for your own decisions and for compliance with applicable law and regulatory obligations.

9. Limitation of Liability

To the maximum extent permitted by law, Modus shall not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenue, data or goodwill, arising out of or related to your use of the website or the Services. Where a signed agreement between you and Modus governs the Platform, liability in respect of the Platform is governed by that agreement.

10. Indemnification

You agree to indemnify and hold Modus harmless from any claims, losses or expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Services, or your violation of any applicable law or third-party right.

11. Termination

We may suspend or restrict access to the website or a trial at any time, with or without notice, where we reasonably believe these Terms have been violated. Termination of a paid Platform subscription is governed by the applicable order form or agreement.

12. Governing Law and Jurisdiction

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Subject to any dispute-resolution clause in a signed agreement, the courts at Bengaluru, Karnataka shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms.

13. Changes to These Terms

We may update these Terms from time to time to reflect changes to the Services or applicable law. The “Last updated” date at the top of this page indicates when these Terms were last revised. Material changes will be communicated where required by law. Continued use of the website after changes take effect constitutes acceptance of the revised Terms.

14. Grievance Redressal

In accordance with applicable Indian law, any complaints or concerns regarding content on this website or these Terms may be directed to our Grievance Officer at contact@modussecure.com. We aim to acknowledge grievances within a reasonable time and resolve them as promptly as practicable.
